By engaging with Steady Slope Marketing, the Client agrees to the terms and conditions set forth in this document. These terms may be updated periodically, and the Client will be notified of significant changes.
3.1. Scope of Services
Steady Slope Marketing will provide the agreed-upon services as outlined in the contract or agreement between the Agency and the Client. Any additional services will be subject to separate agreements.
3.2. Service Packages
Steady Slope Marketing offers pre-defined service packages, such as "Local Business Growth" and "Business Growth," which include but are not limited to:
3.3. Service Modifications
Steady Slope Marketing reserves the right to modify the scope of services or packages with prior notice to the Client.
4.1. Fees
The fees for services provided by Steady Slope Marketing will be outlined in the agreement. Payments are due based on the terms specified in the invoice, typically [number] days after the invoice date.
4.2. Late Payments
Late payments may incur interest charges of [percentage]% per month after the due date. Steady Slope Marketing reserves the right to suspend services until all outstanding payments are received.
4.3. Refunds
Due to the nature of digital marketing services, refunds are generally not provided. Exceptions may be made at the sole discretion of Steady Slope Marketing.
5.1. Timely Cooperation
The Client agrees to provide all necessary information, access, and approvals to facilitate the execution of services. Delays caused by the Client may affect project timelines and deliverables.
5.2. Accuracy of Information
The Client warrants that all information provided to Steady Slope Marketing is accurate and not misleading. The Agency is not responsible for any errors resulting from inaccurate information supplied by the Client.
6.1. Termination by Client
The Client may terminate the agreement with Steady Slope Marketing by providing 5 days' written notice. Any work completed or services provided up to the termination date will be invoiced accordingly.
6.2. Termination by Agency
Steady Slope Marketing reserves the right to terminate services if the Client breaches the terms of this agreement, including failure to pay fees, without any liability for unfinished work.
Steady Slope Marketing will not be liable for any indirect, incidental, or consequential damages, including loss of revenue, data, or reputation, resulting from the use or inability to use our services.
All marketing materials, strategies, and content developed by Steady Slope Marketing for the Client remain the property of Steady Slope Marketing until full payment has been made. Upon payment, ownership of such materials may be transferred to the Client.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this agreement. This obligation remains in effect even after the termination of the agreement.
This agreement will be governed by and construed in accordance with the laws of Washington State.
Steady Slope Marketing will not be liable for delays or failure to perform any obligation under this agreement due to events beyond our reasonable control, including but not limited to natural disasters, strikes, governmental actions, and or unforeseen marketing platform changes.
These terms and conditions, along with any signed agreements, constitute the entire understanding between the Client and Steady Slope Marketing. Any amendments must be made in writing and signed by both parties.
Steady Slope Marketing will use its expertise and best efforts to provide the agreed-upon services; however, we make no guarantees regarding the Client’s financial or business outcomes as a result of our services. Marketing success is influenced by numerous factors beyond the control of Steady Slope Marketing, such as market conditions, customer behavior, and competition.
While we are confident that our strategies and services are designed to drive results, it is important for the Client to understand that making this opportunity profitable takes effort from both parties. That being said, the Client’s active participation, timely cooperation, and commitment to the strategy are critical to achieving success. The lack of such results will not entitle the Client to a refund or reimbursement.
